1. Компания не несет ответственности перед Покупателем (кроме ответственности за смерть или травму, происшедшие по небрежности Компании) за любые убытки или ущерб, происшедшие в результате любого нарушения любой прямой или подразумеваемой гарантии или условия контракта или небрежности, нарушения обязанности по закону или другой обязанности со стороны Компании или любым другим способом или связанным с выполнением или подразумеваемым выполнением или невыполнением Контракта, кроме положений, соответствующих этому условию. — 1. The Company shall have no liability to the Customer (other than liability for death or personal injury resulting from the Company's negligence) for any loss or damage of any nature arising from any breach of any express or implied warranty or condition of the Contract or any negligence, breach of statutory or other duty on the part of the Company or in any other way out of or in connection with the performance or purported performance of or failure to perform the Contract except in accordance with this condition.

2. Ни при каких обстоятельствах размер ответственности Компании перед Покупателем по этому условию не должна превышать стоимость Товаров по счету-фактуре. — 2. In no circumstances shall the liability of the Company to the Customer under this condition exceed the invoice value of the Goods.

1. Компания может заключать договора с субподрядчиками на исполнение Контракта целиком или частями. — 1. The Company may subcontract the performance of the Contract in whole or in part.

2. Контракт заключается между Компанией и Покупателем как основными сторонами и не может быть передан Покупателем третьей стороне без ясно выраженного письменного согласия Компании. — 2. The Contract is between the Company and the Customer as principals and shall not be assignable by the Customer without the express written consent of the Company.

3. Компания обладает правом удержания всего имущества Покупателя, находящегося во владении Компании, на все суммы, подлежащие получению от Покупателя в любое время, и имеет право использовать, продавать или распоряжаться этим имуществом в качестве агента Покупателя и за счет Покупателя и использовать выручку для оплаты таких сумм, направив письменное уведомление Покупателю за 28 дней. При предоставлении Покупателю отчета об остатке, оставшемся после оплаты сумм, причитающихся Компании, и затрат на реализацию или распоряжение Компания освобождается от любой ответственности в отношении имущества Покупателя. — 3. The Company shall have a lien on all the Customer's property in the Company's possession for all sums due at any time from the Customer and shall be entitled to use sell or dispose of the property as agent for and at the expense of the Customer and apply the proceeds in and towards the payment of such sums on 28 day's notice in writing in the Customer. Upon accounting to the Customer for any balance remaining after payment of any sums due to the Company and the costs of sale or disposal the Company shall be discharged of any liability in respect of the Customer's property.

1. Поставщик страхует Компанию от любых убытков, ущерба или травмы, причиняемых Компании, и любой претензии третьих сторон к Компании в отношении убытков, ущерба или травмы, любых издержек и расходов, возникающих в связи с ними в результате несоблюдения Поставщиком условий Контракта (по небрежности или другой причине) и, в частности, по причине какого-либо дефекта в Товарах или их материалах, конструкции, качестве работы или проекте (в пределах ответственности Поставщика за проект) или от претензии, что какие-либо Товары, подготовленные или поставленные по Контракту не в строгом соответствии с проектом или указанием Компании нарушают или предположительно нарушают права какой-либо третьей стороны по заявлению или в связи с патентом, зарегистрированным промышленным образцом, авторским правом или нарушением доверия. — 1. The Supplier shall indemnify the Company against any loss damage or injury to the Company, and claim in respect of loss damage or injury made against the Company by third parties and any costs and expenses arising in connection with them which result from the Supplier's failure to comply with the Contract (whether negligent or otherwise) and in particular resulting from any defect in the Goods or their materials construction workmanship or design (to the extent that the Supplier is responsible for design) or any claim that any Goods prepared or supplied under the Contract otherwise than exclusively in accordance with a design or instruction given by the Company infringe or are alleged to infringe the rights of any third party claimed under or in connection with any patent registered design copyright or breach of confidence.

2. Страхование Поставщика от страхуемой по Контракту ответственности осуществляется соответствующим образом страховщиком с хорошей репутацией. — 2. The Supplier shall be at all times adequately insured with a reputable insurer against all insurable liability under the Contract.
